1. Acceptance of Terms
Your use of the Platform constitutes your acceptance of these Terms and all other posted guidelines, policies, and rules applicable to the Platform. We may update these Terms at any time. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
2. Definitions
"Agent" means a property agent registered with or licensed by the Council for Estate Agencies (CEA) and matched with a Homeowner through the Platform. "CEA" means the Council for Estate Agencies, the regulatory body for property agents in Singapore. "Content" means all text, images, logos, trademarks, software, and other materials on the Platform. "Homeowner" means an individual or household seeking to engage with property agents through the Platform. "Platform" means the Zuwoo website, mobile application, and all related services and features. "Services" means Zuwoo's property agent matching algorithm and related services as described in these Terms. "User" or "you" means any individual or entity that accesses or uses the Platform.
3. Eligibility
To use the Platform, you must meet all of the following requirements: Be at least 21 years of age (the age of majority in Singapore for entering into contracts). Be a resident of Singapore or own property in Singapore. Have the legal capacity to enter into binding agreements. Not have been previously suspended or terminated from the Platform. Comply with all applicable laws and regulations in Singapore.
4. Account Registration and Security
When you register an account on the Platform, you agree to: Provide accurate, complete, and truthful information. Maintain the confidentiality of your account credentials. Not share your account with third parties. Be responsible for all activity on your account. Maintain only one active account per person. Notify us immediately of any unauthorised access or security breach. Zuwoo is not responsible for any loss arising from unauthorised access to your account. You are solely responsible for maintaining the security of your login credentials.
5. Description of Services
5.1 What Zuwoo Does The Platform is a data-driven property agent matching service. Zuwoo: Collects your property and preferences information. Applies a proprietary algorithm to identify suitable agents. Curates up to 3 matches from our network of top 5% CEA-verified agents. Facilitates an introduction between you and the matched agents. 5.2 What Zuwoo Does Not Do Zuwoo is not responsible for and does not: Provide property valuations, appraisals, or financial assessments. Provide legal advice, tax advice, or financial advice. Guarantee the performance, qualifications, or conduct of any Agent. Guarantee successful transactions or transaction outcomes. Act as an estate agent or licensed property agent. Hold, control, or manage any funds or deposits. 5.3 Free Service Zuwoo is free for Homeowners. We charge no platform fees, commission, or charges for the matching service. Revenue is generated solely from Agents who pay to access the Platform.
6. User Obligations
You agree to: Provide accurate, complete, and current information when using the Platform. Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. Act in good faith and treat all Agents and Zuwoo staff with respect. Update your information promptly if any details change. Not impersonate any person or misrepresent your identity or intentions.
7. Prohibited Conduct
You agree not to engage in any of the following prohibited activities: Fraudulent activity, misrepresentation, or deception. Harassment, abuse, or threatening behaviour towards any user or Zuwoo staff. Web scraping, data mining, or automated access to the Platform without permission. Attempting to breach or circumvent Platform security measures. Circumventing the Platform to directly contact matched Agents, or encouraging Agents to bypass the Platform. Uploading malware, viruses, or any harmful code. Spam, phishing, or unsolicited communications. Violating intellectual property rights of Zuwoo or any third party. Any other unlawful or unethical conduct.
8. Intellectual Property Rights
8.1 Zuwoo's Intellectual Property All intellectual property on the Platform, including the website design, algorithms, software, trademarks, logos, and original content, is owned by Zuwoo Pte. Ltd. or its licensors. You have no rights to this intellectual property except as expressly granted in these Terms. 8.2 Limited License Zuwoo grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes in accordance with these Terms. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any information or content from the Platform. 8.3 Your Content By submitting any content (including property information, photos, and communications) to the Platform, you grant Zuwoo a worldwide, royalty-free, perpetual, irrevocable license to use, modify, reproduce, distribute, and display such content for the purpose of providing the Services and improving the Platform. You represent and warrant that you own or have the right to submit all content you provide.
9. Third-Party Links and Services
The Platform may contain links to third-party websites and services that are not operated by Zuwoo. We do not endorse, control, or assume responsibility for any third-party content, services, or practices. Your use of third-party services is at your own risk and is governed by the terms and conditions of those third parties. We are not liable for any loss or damage arising from your use of linked websites or services.
10. Disclaimers and Limitation of Liability
10.1 "As Is" Disclaimer The Platform and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Zuwoo disclaims all warranties, including but not limited to fitness for a particular purpose, merchantability, non-infringement, and accuracy. 10.2 No Guarantee of Results Zuwoo does not guarantee that the matched Agents will meet your expectations, successfully represent you, or complete any transaction. The success of any property transaction depends on many factors beyond Zuwoo's control, including Agent performance, market conditions, and parties' individual circumstances. 10.3 No Liability for Agent Actions Zuwoo is not liable for any actions, omissions, conduct, or performance of matched Agents. Any disputes between you and an Agent are between you and that Agent only. Zuwoo is not a party to any transaction between you and an Agent. 10.4 Limitation of Liability To the fullest extent permitted by law, Zuwoo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of the Platform, even if Zuwoo has been advised of the possibility of such damages. Zuwoo's total liability to you shall not exceed the greater of: (a) the amount you paid to Zuwoo in the 12 months prior to the claim (if any), or (b) S$100. This limitation applies regardless of the legal basis of the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Zuwoo and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to: (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any law or regulation, or (d) any content you submit to the Platform.
12. Termination
12.1 Termination by Zuwoo Zuwoo may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Causes for termination include but are not limited to violation of these Terms, prohibited conduct, fraud, or any unlawful activity. 12.2 Termination by You You may terminate your account at any time by contacting Zuwoo at Daniel@zuwoo.com with your termination request. Upon termination, your access to the Platform will be revoked, and your account data will be handled in accordance with our Privacy Policy. 12.3 Survival The following sections shall survive any termination of these Terms: Intellectual Property Rights, Disclaimers and Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature are intended to survive.
13. Dispute Resolution
13.1 Negotiation Before commencing any legal proceedings, you agree to attempt to resolve any dispute by negotiating in good faith with Zuwoo. Any such negotiation shall be conducted by email or in writing. 13.2 Governing Law and Jurisdiction If negotiation fails, any dispute shall be resolved exclusively in the courts of Singapore. You agree to submit to the jurisdiction of the Singapore courts and waive any objections to venue or inconvenient forum. These Terms are governed by the laws of Singapore without regard to conflict of law principles.
14. Modifications to Terms
Zuwoo may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms. If you do not agree to any modification, you must stop using the Platform.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zuwoo concerning the Platform and supersede all prior agreements, understandings, and negotiations.
17. No Waiver
Zuwoo's failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or the right to enforce it at a later time.
18. Assignment
These Terms may not be assigned, transferred, or delegated by you without Zuwoo's prior written consent. Zuwoo may assign these Terms or its rights and obligations hereunder to any successor or affiliate. Any attempted assignment in violation of this section is void.
19. Force Majeure
Zuwoo shall not be liable for any failure to perform under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, and internet outages. Zuwoo will make reasonable efforts to resume performance when the force majeure event ends.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. The Singapore courts shall have exclusive jurisdiction to hear any disputes arising out of or related to these Terms and your use of the Platform.
